PLEASE READ THIS AGREEMENT CAREFULLY.

By accessing, purchasing, registering for, enrolling in, or using any website, course, certification program, training, consulting service, software platform, webinar, downloadable resource, or related service offered by National Compliance LLC (“Company,” “we,” “our,” or “us”), you agree to be bound by this Agreement.

1.ELIGIBILITY

You represent that:

• You are at least 18 years old; • Information submitted is accurate; • You have authority to enter this Agreement.

2.ACCOUNT RESPONSIBILITIES

You are responsible for:

• Maintaining account security; • Protecting passwords; • All activity conducted through your account.Accounts may not be transferred, shared, sold, or assigned.

3.COURSE ACCESS LICENSE

Enrollment grants a limited, revocable, non-exclusive, non-transferable license to access purchased content.

You may not:

• Share accounts; • Reproduce course content; • Download protected materials; • Record course videos; • Distribute examinations; • Resell content.

4.INTELLECTUAL PROPERTY

All content, including:

• Courses • Videos • Documents • Graphics • Logos • Assessments • Certifications • Software

is owned by or licensed to National Compliance LLC and protected under applicable intellectual property laws.

5.IDENTITY VERIFICATION

We may require verification through:

• Government-issued identification • Photographs • Electronic authentication • Video verification • Other reasonable methodsFailure to complete verification may result in denial of certification.

6.EXAMINATION INTEGRITY

Participants agree to complete all testing honestly.

Prohibited conduct includes:

• Impersonation • Cheating • Unauthorized assistance • Circumvention of testing controls • Artificial manipulation of exam resultsViolations may result in immediate suspension, termination, or certification revocation.

7.CERTIFICATION DISCLOSURES

National Compliance LLC provides educational and training services.Unless expressly stated otherwise:

• We are not a government agency; • We are not OSHA; • We are not a licensing authority.Completion of a course or issuance of a certificate does not guarantee:• Employment; • Promotion; • Licensing approval; • Regulatory acceptance; • Government approval; • Legal compliance.

Employers and regulatory agencies may impose additional requirements.

8.EMPLOYER AND REGULATORY REPORTING

Participants authorize disclosure of training records and certification information when required by:

• Law; • Regulation; • Accreditation standards; • Employer requests; • Certification programs.

9.AI DISCLOSURE

National Compliance LLC may utilize artificial intelligence technologies to assist with:

• Content creation; • Administrative communications; • Customer support; • Research.

Users remain responsible for independently verifying information before relying upon it for legal, regulatory, safety, or business decisions.

10.USER CONDUCT

Users may not:

• Violate laws; • Submit false information; • Upload malware; • Interfere with website functionality; • Attempt unauthorized access; • Infringe intellectual property rights.

11.THIRD-PARTY SERVICES

We may utilize third-party providers for:

• Payment processing; • Learning management systems; • Cloud storage; • Analytics; • Marketing; • Communications.

We are not responsible for third-party services.

12.DISCLAIMER OF WARRANTIES

ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”TO THE MAXIMUM EXTENT PERMITTED BY LAW, NATIONAL COMPLIANCE LLC DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13.LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NATIONAL COMPLIANCE LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

14.INDEMNIFICATION

You agree to defend, indemnify, and hold harmless National Compliance LLC and its owners, officers, employees, instructors, contractors, and affiliates from any claims arising from:

• Violation of this Agreement; • Misuse of certifications; • Violation of law; • Infringement of rights of others.

15.INDEPENDENT CONTRACTOR DISCLOSURE

Instructors, consultants, trainers, auditors, and service providers engaged by National Compliance LLC may operate as independent contractors.

Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship.

16.ELECTRONIC CONSENT

You consent to:

• Electronic records; • Electronic signatures; • Electronic communications; • Electronic certificates.

17.ARBITRATION AGREEMENT

Any dispute arising from this Agreement or use of Services shall be resolved through binding arbitration in California under the rules of the American Arbitration Association.

18.JURY TRIAL WAIVER

YOU WAIVE ANY RIGHT TO A JURY TRIAL.

19.CLASS ACTION WAIVER

ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY.CLASS ACTIONS, COLLECTIVE ACTIONS, AND REPRESENTATIVE ACTIONS ARE WAIVED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

20.GOVERNING LAW

This Agreement shall be governed by the laws of the State of California.

21.MODIFICATIONS

National Compliance LLC may modify this Agreement at any time.

Continued use of Services constitutes acceptance of revised terms.
